For Business Start-ups

We offer affordable, flat rate, start-up packages. For one fee we complete the entire start-up process through state registration and prepare all start-up documents including: articles of incorporation, organizational minutes, and by-laws, shareholder agreements certificates of organization (for LLCs) operating agreements, partnership agreements. We also assist your with obtaining your federal EIN (Employer Identification Number) and place all required legal notices. We also order and complete your business “kit” including minute book, corporate or business seal and share or member certificates, and issue shares.

More importantly, we provide essential advice to help you determine the best form of business entity for your enterprise. Pennsylvania offers a variety of business entities from which to choose. Often the decision is based on a balance between tax efficiency and personal liability protection.

For Existing Businesses

We provide basic services to ensure legal maintenance of the business entity. We ensure that the business keeps historical and current minutes of annual and special meetings and resolutions, that all vacant positions on the board of directors or of officers are promptly filled, and that any changes in the business structure or form, or in the number of shareholders or partners is properly documented and reported. We also assist with corporate governance matters and help resolve disputes between directors and/or shareholders.
